Voluntary striking off is an application to ACRA, not instant closure. ACRA's current guide says the company must have stopped or never started trading, own nothing and owe nothing, have no unresolved government issues, registered charges, legal cases, or regulatory proceedings, and have the required director agreement. Verify every current criterion and consequence for the actual company before filing; the company remains live while the process and objection periods continue.

Treat strike-off as a staged legal process

Voluntary striking off is an application to ACRA, not instant closure. ACRA's current guide says the company must have stopped or never started trading, own nothing and owe nothing, have no unresolved government issues, registered charges, legal cases, or regulatory proceedings, and have the required director agreement. Verify every current criterion and consequence for the actual company before filing; the company remains live while the process and objection periods continue.

Copyable ACRA readiness file

Use one row for each current ACRA criterion and process state. A blank row is an unresolved issue, not an implied yes.

Assign each readiness row to the person who can supply or review the evidence and keep unresolved items open. Recheck entity details immediately before submission. After submission, update only from actual Bizfile notices, gazettes, objections, and the live register; a predicted date or provider email must not advance the company to a later legal state.

  • Company, UEN, company type, trading status, cessation date, source date, and owner
  • Assets, debts, agencies, charges, proceedings, regulatory issues, tax credits, and evidence
  • Director agreement, filer, authority, registered information, and unresolved adviser question
  • Submitted, endorsement, approved, first gazette, objection, waiting period, and final gazette
  • Live-register check, records owner, stakeholder notice, final evidence, and review date

Dormant-startup worked example

A dormant startup records its cessation date, bank and asset position, creditor and government-agency checks, charge register, legal and regulatory questions, tax-credit check, current registered addresses, majority-director consent, authorized filer, and the Bizfile result. It keeps approved, first-gazette, waiting-period, objection, and final-gazette states separate.

Check every current eligibility criterion

Use ACRA's current readiness criteria as separate evidence rows. Record trading status, cessation date, assets, debts, government-agency matters, registered charges, legal cases, regulatory proceedings, tax credits, current entity information, and director agreement. A dormant label, zero recent revenue, or an empty bank account does not by itself establish that all official criteria are met.

Strike-off readiness is not merely a filing checklist. The company may need separate qualified work on assets, liabilities, employees, creditors, taxes, contracts, records, licences, litigation, and intellectual property. The readiness file should expose which owner has resolved each issue and which official state the company is actually in, without converting general criteria into a legal conclusion.

  • ACRA: striking off a local company
  • ACRA: striking-off gazettes

Keep submission, approval, and dissolution separate

Preserve authorization and process states. Identify the company officer or corporate service provider, majority-director consent where required, Bizfile submission, endorsements, ACRA approval, first gazette, objection period, any accepted objection, final gazette, and live register status. The company remains live during the process, and a lapse, withdrawal, or objection must not be displayed as completed closure.

Track notices, objections, and final status

Route legal, creditor, employee, tax, accounting, records, intellectual-property, contract, and regulatory questions to the correct qualified owners before application. Keep notices and final status evidence. JurisLane can organize the dated file and reviewer questions; it cannot assess eligibility, make declarations, file, resolve objections, or confirm dissolution.

Singapore legal, tax, and filing limits

This is general preparation information, not legal or tax advice; current requirements require official and qualified review.

  • Every current ACRA criterion has evidence or an unresolved owner
  • Prepared and officially struck off are never conflated
  • Directors, creditors, tax, records, and litigation questions are routed correctly
  • The live register and gazette status are verified
