Every live Singapore company must file an annual return, even if it is dormant or inactive. Start with the financial year end and company type to find the deadline in ACRA's current table. Most listed companies file within five months; most non-listed companies file within seven. Companies with share capital and an overseas branch register have different deadlines. The current filing fee is S$60. Prepare the records, resolve discrepancies and keep the Bizfile acknowledgement after filing.
Know what the annual return requires
An annual return tells the Accounting and Corporate Regulatory Authority (ACRA) about the company's current records. Dormant or inactive status does not remove the annual filing requirement. A company officer, such as a director or secretary, may file, or the company may engage a corporate service provider (CSP).
Find the financial year end (FYE) in the company record. ACRA generally allows five months after FYE for listed companies and seven for non-listed companies. Its table specifies six and eight months, respectively, for companies with share capital and an overseas branch register. Check the current table against the actual company.
Copyable filer, deadline, and fee sheet
Use the checklist below to gather the filing facts. UEN means Unique Entity Number; AGM means annual general meeting. Record the source and date for each entry.
Name the person who will resolve any mismatch. A completed worksheet or an email to a provider is not a filed return. Keep the submission result with the final records.
- Company name, UEN, type and financial year end.
- Applicable deadline, official source and date checked.
- AGM and financial-statement requirements, with the review owner.
- Company-record discrepancies and the person resolving each one.
- Authorised filer, actual submission date, payment and acknowledgement.
A company-record discrepancy example
Consider a fictional non-listed company preparing its return. Its finance team confirms the FYE, while its secretary checks the applicable deadline. During review, they find that the registered-office record is out of date.
They resolve the address change before filing the annual return. They also confirm the financial-statement and AGM requirements. The file records the S$60 payment and Bizfile acknowledgement only after the transaction succeeds.
Run ACRA's pre-filing checks
Compare the current company record with the documents held by the company. Check the office address, activities, officers, shareholders, shares and charges. Resolve incorrect company information before filing, as ACRA instructs.
Confirm which financial statements and AGM details are required for this company. Ask the relevant accountant, secretary or adviser about any exemption or uncertainty. Last year's return is a reference, not a substitute for this year's checks.
Follow the current Bizfile sequence
The authorised filer enters the annual-return eService in Bizfile. Review the entity and FYE details, then complete the declarations and required AGM, financial-statement and register information. Review the whole return before payment.
Check the company's duties for its Register of Registrable Controllers (RORC), Register of Nominee Directors (ROND) and Register of Nominee Shareholders (RONS). Do not assume that completing the annual return resolves every separate register obligation.
Record payment and acknowledgement
The current ACRA filing fee is S$60. Check the fee shown in the live transaction and save the payment result and filing acknowledgement. ACRA says its records update immediately after successful submission.
If the result is unclear, check the actual Bizfile transaction status. Do not label a draft or a payment attempt as completed filing. JurisLane helps prepare facts and questions; it does not access Bizfile or file the return.
Singapore legal and tax limits
This guide supports preparation. It does not decide an exemption, accounting treatment or legal or tax obligation. Verify the company's current requirements with ACRA and the appropriate qualified adviser before filing.
- The filer, company type, FYE, and applicable deadline are verified
- The current fee and pre-filing requirements come from ACRA
- Incorrect entity information is updated before filing
- Completion requires actual Bizfile submission and acknowledgement
